01 · Who these terms are with

These terms are between you (the person or organisation using this website) and AYCAS Investments (Pvt) Ltd, a company registered in Zimbabwe (Reg. No. 56514A0282025), of Rosedale, 208–209 Sam Nujoma Street, Harare, Zimbabwe, trading as AYCAS Studios. By using this site you agree to these terms. If you don't agree, don't use the site.

02 · What this site is

This site is a public marketing and information resource for AYCAS Studios. It describes our services, publishes our standard commercial templates as downloads, and provides an enquiry form for people who want to engage us. It is not:

• A paid-service contract
• An offer to enter into a contract
• Legal, financial, or professional advice
• A guarantee of the availability, pricing, or scope of any AYCAS Studios service

AYCAS Studios reserves the right to change, update, or remove any part of the site at any time without notice.

03 · Your commitments when using the site

When you use this site, you agree not to:

• Use it for any unlawful purpose or in any way that breaches these terms
• Attempt to gain unauthorised access to any part of the site, its server, or any connected systems
• Interfere with the operation of the site (for example, via denial-of-service attempts or malicious code)
• Scrape, harvest, or systematically download site content other than through normal browser use
• Use the site to send spam, phishing, or any other form of unsolicited communication
• Impersonate another person or entity in an enquiry or other submission

Unless stated otherwise, everything on this site — text, graphics, layout, wordmark, palette, code, and downloadable templates — is the intellectual property of AYCAS Investments (Pvt) Ltd. You may:

• View the site
• Download the published templates in our Resources section for personal or internal business evaluation
• Quote short extracts with attribution to AYCAS Studios

You may not:

• Republish, redistribute, or sell any site content
• Use AYCAS Studios wordmark or visual identity on your own materials
• Represent AYCAS Studios content as your own or as that of another party
• Present the downloadable templates to third parties as your own standard terms

Third-party intellectual property

Typography on this site uses Space Grotesk (SIL Open Font License), Inter (SIL Open Font License), and JetBrains Mono (Apache 2.0 License), all served via Google Fonts. See our Credits page.

05 · Downloadable resources

The templates we publish in the Resources section — the Engagement Brief, the four legal templates (Mutual NDA, NCNDA, Data Handling Policy, Engagement Principles), and — once released — the commercial pack (Service Agreement, Scope of Work, Change Order, Invoice) — are offered as-is for evaluation, fill-in-browser editing, and internal review. The signable templates (Mutual NDA, NCNDA) become legally binding only when both parties sign and exchange them under a specific engagement. The informational templates (Data Handling Policy, Engagement Principles) describe how AYCAS Studios operates; they are not separate legal instruments. The Engagement Brief is an intake form, not an executed legal instrument.

06 · Links to other sites

We occasionally link to third-party sites (for example, to tools, clients' own sites, or fonts). We don't control those sites, we don't endorse their content, and we're not responsible for their availability, security, or content.

07 · Availability of the site

We work to keep the site available and up to date, but we don't guarantee uninterrupted availability. We may need to take it down for maintenance, security, or operational reasons. We accept no liability for any direct or indirect loss arising from the site being unavailable.

08 · Accuracy of information

We make reasonable efforts to keep the information on this site accurate and current. But information on the site may contain errors, become out-of-date, or be incomplete. Nothing on the site constitutes a warranty or representation beyond what we would confirm in writing under a specific engagement.

09 · Limitation of liability

To the maximum extent permitted by law:

• We provide this site and its content as-is, without warranty of any kind, express or implied.
• We are not liable for any direct, indirect, consequential, incidental, or special loss arising from your use of the site, including loss of profit, data, goodwill, or opportunity.
• Nothing in these terms excludes or limits our liability for death, personal injury caused by our negligence, or fraud — those exclusions would be illegal.

The downloadable templates are not a substitute for legal advice. If you execute them with another party, that's between you and that party; AYCAS Studios is not a party to any such agreement unless it is signed by an AYCAS Studios signatory.

10 · Enquiries

Submitting an enquiry does not constitute a binding offer or create any commercial engagement between you and AYCAS Studios. An engagement only begins when both parties have signed a Service Agreement and an associated Scope of Work, and the first milestone payment has been received. Until then, either side is free to walk away at no cost.

11 · Privacy

How we handle your personal data is set out in our Privacy Policy, which forms part of these terms.

12 · Changes to these terms

We may update these terms from time to time. The effective date at the top of this page will always reflect the latest version. Material changes that could affect your rights will be notified through the site itself.

13 · Governing law

These terms are governed by the laws of Zimbabwe. Any dispute arising from your use of the site or these terms will be dealt with by the courts of Zimbabwe, or — if both parties agree — by arbitration in Harare under the Zimbabwe Arbitration Act [Chapter 7:15].
